Came across this situation the other day. This soln worked for me.
Download a trial version (free) of Kaspersky Anti-Virus at:
http://usa.kaspersky.com/downloads/trial-versions.php
Begin the installation of Kaspersky. Kaspersky will detect that NOD32 is already present and will ask if you want to uninstall it. Answer yes. It will then uninstall NOD32 (no password required) and then prompt you if you want to restart your PC. Again, answer yes to restart immediately.
When the PC comes back up, the install of Kaspersky automatically picks up at the beginning of its routine. This time cancel out of the install on the first screen for Kaspersky. NOD32 will be gone.
